您在线点击确认本协议即视为您同意与World First Asia Limited（“WorldFirst”或“万里汇”）订立本协议，本协议立即生效；且您的该等行为将被理解为您已知晓并充分理解本协议全部内容，同意按照本协议的约定履行权利义务。您同意通过您的授权代表在您的万里汇平台上的账号所进行的一切账户操作均视为您的行为，对此，您承担相应的法律责任。您保证上述账号为您自主掌控并尽到了合理保管义务。您通过在线点击的方式签署本协议与您的有权签字人亲自签署、加盖公章的行为具有相同的法律效力。

Your online confirmation of this Agreement shall be deemed as your agreement with World First Asia Limited ("WorldFirst") to enter into this Agreement, which shall take effect immediately. Your act shall be deemed as your full understanding of and agreement to perform the rights and obligations under this Agreement. You agree that all account operations carried out by your authorized representative with your WorldFirst account shall be deemed as your act, and you shall bear corresponding legal responsibilities. You guarantee that the aforementioned account is under your control and you have fulfilled your duty of reasonable safekeeping. Your online confirmation of this Agreement has the same legal effect as your authorized representative's personal signature and seal of the authorized signatory.

本协议里使用的词汇与表达的意义在下面“定义”部分列出，您阅读本协议时，请参考该等定义。

The terms and expressions used in this Agreement and their meanings are listed in the "Definitions" section below. Please refer to these definitions when reading this Agreement.

鉴于：

Whereas:

1.     您已签订WorldFirst条款与条件（“条款与条件”）并已在WorldFirst开立账户（“账户”）。

You have signed the WorldFirst Terms and Conditions ("Terms and Conditions") and opened an account ("Account") with WorldFirst.

2.     在WorldFirst支持的币种范围内，您同意根据本协议使用指定汇率兑换的服务，即在拟换汇货币兑换目标货币的比率达到您指定的目标汇率（“目标汇率”）后，WorldFirst将按照您根据本协议提供的指示和授权，将拟换汇货币的相应金额以目标汇率转换成目标货币（“指定汇率兑换服务”）。

Within the range of currencies supported by WorldFirst, you agree to use the appointed-rare exchange service in accordance with this Agreement, which means that after the exchange rate between the intended exchange currency and the target currency specified by you reaches the target rate("Target Rate"), WorldFirst will convert the corresponding amount of the intended exchange currency into the target currency at the Target Rate ("Appointed-Rate Exchange Service") in accordance with your instructions and authorization provided under this Agreement.

1.       You hereby make the following representations and warranties:

a)     您具有签订、行使、执行及遵守本协议项下权利和义务的法律能力，和全部权力及授权，并且本协议根据其条款构成对您具有有效约束力；

a)    You have the legal capacity to sign, exercise, enforce, and comply with the rights and obligations under this Agreement, and this Agreement shall be legally binding upon you in accordance with its terms;

b)      您具有所有为进行本协议项下活动、根据相关法律、规则或法规所需的授权、同意、豁免和许可等；并且

b)     You have all the authorizations, consents, waivers, and permits necessary for the activities under this Agreement and compliance with relevant laws, rules, or regulations; and

c)       您将完全遵守所有适用法律和法规，以及相关政府机构发布的原则和指南等。

c)      You will fully comply with all applicable laws and regulations, as well as principles and guidelines issued by relevant government agencies.

2.     您在此保证，如果提供给WorldFirst的信息包含任何第三方信息（包括但不限于您的子公司、关联方、继任人和/或受让人，以及在相关的情况下，您公司的高管、董事、员工和代理），则该第三方已得悉被披露的信息的范围和目的（有关的信息列于WorldFirst的隐私政策中）；您进一步保证已就根据本声明和授权书使用有关信息，取得该第三方的同意，并提供的信息均为真实、准确和有效。

2.    You hereby guarantee that if any third-party information (including but not limited to information of your subsidiaries, affiliates, successors, and/or assignees, as well as in certain circumstances, executives, directors, employees, and agents of your company) is provided to WorldFirst, the third party has been informed of the scope and purpose of the disclosed information (the relevant information is listed in WorldFirst's privacy policy); you further guarantee that you have obtained the third party's consent to use the relevant information in accordance with this declaration and authorization, and that all information provided is true, accurate, and valid.

(3)    Confirmation and Agreement

您在此确认并同意：

You hereby confirm and agree that:

1.     当您通过您的World Account登录并申请使用本产品时，您同意同时接受和遵守《WorldFirst条款与条件》的约定及以下补充约定（“补充条款”）。除下文另有规定，在《WorldFirst条款与条件》中定义的词语在本补充条款中使用时具有相同的含义。本补充条款与《WorldFirst条款与条件》有任何不一致的，以本补充条款为准。

1.     When you log in to your World Account and apply to use this product, you agree to accept and comply with the provisions of the WorldFirst Terms and Conditions and the following supplementary terms ("Supplementary Terms"). Unless otherwise stated below, the terms defined in the WorldFirst Terms and Conditions shall have the same meanings when used in these Supplementary Terms. In case of any inconsistency between these Supplementary Terms and the WorldFirst Terms and Conditions, these Supplementary Terms shall prevail.

2.     WorldFirst仅提供外汇现货交易。WorldFirst 不支持为了投资或投机目的而进行的外汇交易（例如试图从汇率波动中盈利）。

2.    WorldFirst only provides spot foreign exchange trading. WorldFirst does not support foreign exchange trading for investment or speculative purposes (such as trying to profit from exchange rate fluctuations).

3.     在WorldFirst允许的期限范围内，指定汇率兑换服务在您申请服务时选择的期限内有效（“服务期”）。在您申请服务后及对应服务期内，WorldFirst将冻结您申请兑换的相应金额(“换汇金额”)，以确保汇率达到目标汇率时有足够款项进行兑换；您可以在服务期内，针对换汇金额取消指定汇率兑换服务，相应换汇金额冻结将对应解除。WorldFirst对您换汇金额的冻结并不代表WorldFirst承诺兑换交易一定成交，兑换交易是否能够成交，仍取决于汇率是否能够到达目标汇率。

3.    Within the time period allowed by WorldFirst, the Appointed-Rate Exchange Service is valid during the service period selected by you when you apply for the service (“Service Period”). After you apply for the service, WorldFirst will freeze the corresponding amount ("exchange amount") that you apply for exchange to ensure that there are sufficient funds to exchange when the exchange rate reaches the Target Rate. You can cancel the Appointed-Rate Exchange Service for the corresponding exchange amount during the Service Period, and the corresponding frozen exchange amount will be released accordingly. The fact that WorldFirst freezes your exchange amount does not mean that WorldFirst promises that the exchange transaction will be completed. Whether the exchange transaction can be completed still depends on whether the exchange rate can reach the Target Rate.

4.     WorldFirst 没有义务必须接受您作出的关于执行外汇交易的指令，并且 WorldFirst 保留拒绝与您进行特定外汇交易的权利。WorldFirst将根据其内部政策、相关法律法规及监管要求等不时开展的交易审查（例如，账户的使用和资金来源是否符合相关法律规定、是否存在异常交易行为等），以决定是否接受和执行您作出的外汇交易指令。

4.    WorldFirst is not obliged to accept an instruction from you to perform a foreign exchange transaction and reserves the right to decline to enter into a specific foreign exchange transaction with you. WorldFirst will conduct transaction review based on its internal policies, relevant laws and regulations, and regulatory requirements (such as whether the use of the account and the source of funds comply with relevant regulations, whether there are abnormal trading behaviors, etc.) to determine whether to accept and execute your foreign exchange transaction instructions.

5.     WorldFirst可能为您设置您可以申请的单笔兑换金额上限及全部指定汇率兑换服务总额上限，具体以WorldFirst对您的通知或服务界面的展示为准。

5.    WorldFirst may set a limit on the single exchange amount and the total amount of Appointed-Rate Exchange Service that you can apply for, and the specific information shall be subject to WorldFirst's notification or service interface display to you.

6.     WorldFirst可能为您设置客户等级和汇率等级，具体以WorldFirst对您的通知或服务界面的展示为准。WorldFirst可能根据您的情况、市场或政策需要而不时对您的客户等级或汇率等级进行调整。在您的客户等级或汇率等级标签调整期间，指定汇率兑换服务可能出现暂停或调整，即调整期间内的指定汇率兑换服务可能无法执行，或可能根据您原定客户等级相对应的目标汇率进行换汇（具体以WorldFirst通知为准），由此产生的汇兑风险和资金损失应由您自行承担。

6.    WorldFirst may set customer levels and exchange rate levels for you, and the specific information shall be subject to WorldFirst's notification or service interface display to you. WorldFirst may adjust your customer level or exchange rate level from time to time based on your situation, market or policy needs. During the period of adjustment of your customer level or exchange rate level tag, the Appointed-Rate Exchange Service may be suspended or adjusted, and the Appointed-Rate Exchange Service during the adjustment period may not be executed, or may be exchanged according to the target exchange rate corresponding to your original customer level (subject to WorldFirst's notification). Any foreign exchange risks and capital losses arising therefrom shall be borne by you.

7.     WorldFirst就目标汇率和最终成交汇率提供和确认的汇率报价可能会基于您的客户等级和汇率等级而有所不同。因此，WorldFirst提供给不同客户的报价可能存在差异，WorldFirst的报价与其他第三方报价也可能存在差异。您申请的兑换的成交与否以WorldFirst的报价为准，在WorldFirst的报价达到您设置的目标汇率时交易成交。

7.    The foreign exchange rates provided and confirmed by WorldFirst for Target Rate and final transaction rates may differ depending on your customer level and exchange rate level. Therefore, the quotes provided by WorldFirst to different customers may differ, and the quotes provided by WorldFirst may also differ from those of other third parties. The execution of the exchange that you apply for shall be subject to WorldFirst's quotes, and the transaction shall be completed when WorldFirst's quotes reach your set Target Rate.

8.     WorldFirst会在汇率达到目标汇率时尽快为您办理即期换汇交易。由于交易上限设置、系统限制、汇率波动或货币市场流动性缺失等原因，WorldFirst无法保证本协议项下的兑换服务的及时性和成功率。您确认知晓您可能因此蒙受损失或无法实现预期的目的，并同意自行承担相关风险和损失。

8.    WorldFirst will process spot foreign exchange transactions for you as soon as the exchange rate reaches the Target Rate. Due to reasons such as trading limits, system limitations, exchange rate fluctuations, or lack of currency market liquidity, WorldFirst cannot guarantee the timeliness and success rate of the exchange service under this Agreement. You acknowledge that you may suffer losses or may not achieve the expected purpose as a result of this, and you agree to bear the related risks and losses.

9.     当您与WorldFirst进行兑换交易时，WorldFirst可能会与另一交易对手进行一笔对冲交易（“匹配交易”），以对冲相关交易风险。若基于WorldFirst的合理判断，该匹配交易由于任何原因（包括但不限于税务原因或交易成本的上升）无法达成、无法以商业上合理的方式达成、被中断、无法维系或被替代，WorldFirst将调整或取消与您的兑换交易。在此情况下，因交易被调整或提前结清而可能产生的成本和损失，由您自行承担。

9.    When you conduct an exchange transaction with WorldFirst, WorldFirst may conduct a hedging transaction ("matching transaction") with another counterparty to hedge relevant transaction risks. If, based on WorldFirst's reasonable judgment, the matching transaction cannot be completed for any reason (including but not limited to tax reasons or rising transaction costs), cannot be completed in a commercially reasonable manner, is interrupted, cannot be maintained, or is replaced, WorldFirst will adjust or cancel your exchange transaction. In this case, you shall bear the costs and losses that may arise from the adjustment or early settlement of the transaction.

10.  您同意，当发生以下任一情形时，WorldFirst 有权取消您的外汇交易并且相应的损益应由您自行承担：(1)任何取消事件；（2）WorldFirst合理认为，其继续与您进行外汇交易将严重影响WorldFirst的权益；及（3）为遵守适用法律法规或监管要求之目的，WorldFirst必须终止与您的外汇交易。

10.  You agree that WorldFirst has the right to cancel your foreign exchange transaction and you shall bear the corresponding profits and losses when any of the following occurs: (1) any cancellation event; (2) WorldFirst reasonably believes that continuing to conduct foreign exchange transactions with you will seriously affect WorldFirst's interests; and (3) for the purpose of complying with applicable laws, regulations, or regulatory requirements, WorldFirst must terminate its foreign exchange transactions with you.

11.  对于您因任何不可抗力而蒙受的损失，WorldFirst不承担任何责任。在任何情况下，WorldFirst对您的总赔偿责任（含合约、侵权（包括过失）及其他原因引起的）不超过WorldFirst在本服务项下向您收取的服务费；并且WorldFirst及其受偿人员对于由于行使其本协议下的权利或履行其本协议下的义务而导致您的任何间接的、后果性的、附带的、特殊的或者惩罚性的损害赔偿金不承担任何责任，包括与利润或收入损失、业务中断、业务机会损失、数据损失或者其他经济利益损失有关的损害赔偿金，不论是基于合同、过失、侵权还是由于其他原因。

11.  WorldFirst shall not be liable for any losses you suffer due to force majeure. In any case, WorldFirst's total liability for compensation to you (including claims arising from contract, tort (including negligence), and any other cause of action) shall not exceed the service fee charged by WorldFirst to you under this service; and neither WorldFirst nor its indemnified parties shall be liable for any indirect, consequential, incidental, special, or punitive damages suffered by you as a result of exercising its rights or performing its obligations under this Agreement, including damages related to loss of profits or income, business interruption, loss of business opportunities, data loss, or other economic losses, whether based on contract, negligence, tort, or any other cause of action.

(四)         您在此同意并不可撤销地及无条件地授权WorldFirst:

(4)    You hereby agree and irrevocably and unconditionally authorized WorldFirst to:

1.     WorldFirst有权按照您的指令进行换汇操作。

1.       Conduct forein exchange transactions according to your instructions.

2.     WorldFirst对您提出的指令仅做形式审核。因您错误指令或者因您提供的错误信息，导致账户内的资金操作有误，WorldFirst不承担任何责任，由此导致您产生的任何损失以及其他相关法律责任均无需WorldFirst承担。

2.    WorldFirst only conducts formal review of the instructions you provide. If there are any errors in the instructions or information you provide that lead to incorrect fund operations, WorldFirst is not responsible for any losses or legal liabilities incurred by you as a result.

(五)         承诺

(5)    covenant

您在此承诺，您会赔偿并使WorldFirst免受于任何因本协议或因您或您的员工或代理或关联方的任何重大疏忽、故意的不当行为、欺诈或不诚实行为引起或相关的或遭威胁会引起的诉讼、主张、要求、责任、义务、损失、成本（包括但不限于律师费、费用和罚金）和利息。

You hereby guarantee that you will indemnify and hold WorldFirst harmless from any litigation, claims, demands, liabilities, obligations, losses, costs (including but not limited to attorney's fees, expenses, and fines) and interest arising out of or related to this Agreement, or any gross negligence, intentional misconduct, fraud or dishonesty by you, your employees, agents, or affiliates.

(六)         系统暂停或失灵

(6)    System Suspension or Failure

如果由于以下任何原因导致系统不正常操作，因此不能执行您的任何指示，您同意在适用法律允许的最大范围内不会追究万里汇及其受偿人员的责任：

If the system malfunctions for any reason and cannot execute any of your instructions, you agree, to the fullest extent permitted by applicable law, not to hold WorldFirst and Indemnitees responsible in the following circumstances:

1.     万里汇提前宣布的系统暂停；

1.       System suspension announced in advance by WorldFirst;

2.     由于通讯设备和系统失灵而导致数据传输故障；

2.       Data transmission failure due to communication equipment and system failure;

3.     由于暴风雨、地震、海啸、洪水、停电、战争、恐怖袭击或者万里汇不能合理控制的其他不可抗力事件，导致系统操作故障；或

3.       System operation failure caused by force majeure events such as storms, earthquakes, tsunamis, floods, power outages, wars, terrorist attacks or events that WorldFirst cannot reasonably control; or

4.     由于黑客攻击、政府机关的作为或不作为，因此禁止或妨碍万里汇及/或其关联方提供服务，或者第三方(例如：银行)出于万里汇及其关联方无法合理控制的原因不履行责任，导致服务中断或延误。

4.    Service interruption or delay caused by hacking, actions or inactions by government agencies prohibiting or hindering WorldFirst and/or its affiliates from providing services, or third parties (such as banks) failing to perform their obligations for reasons beyond the reasonable control of WorldFirst and its affiliates.

(七)         管辖法

(6)    Jurisdiction

1.     本协议以及因此产生的或与之相关的任何主张，均受香港法律管辖并据其解释，无需考虑法律冲突原则。

1.    This Agreement and any claims arising out of or related to it shall be governed by and construed in accordance with Hong Kong law, without regard to principles of conflicts of law.

2.     本协议引起或与之相关的任何纷争、争议或主张，包括解释、有效性、无效性、违约或终止，均应通过仲裁解决。仲裁将根据提交仲裁通知（见仲裁规则的定义）时有效的香港国际仲裁中心管理的仲裁规则在香港进行仲裁。仲裁员的人数为一（1）名。仲裁将以英文进行。

2.    Any dispute, controversy or claim arising out of or relating to this Agreement, including its interpretation, validity, invalidity, breach or termination, shall be resolved by arbitration. The arbitration shall be conducted in Hong Kong in accordance with the arbitration rules of the Hong Kong International Arbitration Centre in effect at the time of submission of the arbitration notice (as defined in the arbitration rules). The arbitration shall be conducted in English and shall be decided by one (1) arbitrator.

(八)         其他条款

(8)    Others

1.     您点击“我同意”或其他类似的按钮时，本协议即生效。

1.       This Agreement shall come into effect when you click “I agree” or similar button.

2.     本协议的任何修改、变更或调整均需采取书面形式，否则无效。

2.    Any modification, alteration or adjustment to this agreement shall be in writing, otherwise it shall be invalid.
