     您好！

请参阅与指定用于接收电商平台销售收入的收款账户（“账户”）的权利和义务相关的更替协议（"更替"）。您已请求[客户或许可关联方]继续进行上述更替，并对您各自的World Account记录做出相应更新。 

为方便[客户或许可关联方]处理您的请求，请签署此[客户或许可关联方]保证函（"LOA"）。 

请仔细阅读、理解本函内容并签字确认，以示您同意本函条款。请将本函随申请表一并提交。如您未能提交本函，[客户或许可关联方]将不会处理您的请求。

保证函 

1. 本人或本公司承诺：遵守与相关电商平台签订的所有适用协议和规定，包括但不限于与相关电商平台就更替事项达成的任何条款和条件。

2. 若相关电商平台要求本人或本公司在平台上维护、刷新或更新任何信息/数据，或与平台办理与触发本次更替的店铺所有者变更相关的任何手续，本人或本公司承诺：按照与电商平台签订的适用协议和规定，完全遵照此类要求办理。 

3. 本人或本公司保证：遵守与账户使用相关的所有适用法律，包括但不限于与反洗钱、出口管制、制裁等相关的所有适用法律和法规。

4. 本人或本公司同意：对因违反本函所述任何承诺而产生或导致的任何索赔、诉因、诉讼、损害、损失和费用，向[客户或许可关联方]及其股东、董事、管理层、雇员、代表、服务提供商和合作银行进行赔偿，为其辩护，并使其免受损害。

| Store Novation Compliance Assurance Letter

[CUSTOMER] COMPLIANCE LETTER OF ASSURANCE

Dear Customers,

Reference is made to novation agreement in relation to the rights and obligations associated with the collection account (the “account”) designated to receive sale proceeds from relevant E-commerce platform (the “novation”). You have requested [Customer or Permitted Affiliate] to proceed with the said novation and update records of your respective world account accordingly.

In order for [Customer or Permitted Affiliate] to process your request, please sign this [Customer or Permitted Affiliate] Compliance Letter of Assurance (“LOA”). 

Please read carefully, understand the content of this LOA, and sign it to acknowledge your agreement to its terms. Please submit the signed LOA along with your application. If the signed LOA is not submitted, [Customer or Permitted Affiliate] will not process your request.

Compliance Assurance Statement 

1. I, or the Company, undertake(s) to fully comply with all applicable agreements and rules with relevant E-commerce platform, including but not limited to, any terms and conditions with relevant E-commerce platform in relation to the novation.

2. If I, or the Company, am(is) required by the relevant E-commerce platform to maintain, refresh or update any information/data with the platform, or is required by the relevant E-commerce platform to undertake any procedure with the platform, in relation to the owner change with respect to the storefront at relevant E-commerce platform that triggers this novation, I, or the Company, undertake(s) to fully comply with all such requirements in accordance with applicable agreements and rules with the E-commerce platform.

3. I, or the Company, warrant(s) to comply with all applicable laws in connection with the use of the account, including but not limited to all applicable laws and regulations in relation to anti-money laundering, export controls, sanctions, etc.

4. I, or the Company, agree(s) to indemnify, defend and hold harmless [Customer or Permitted Affiliate] and its shareholders, directors, management, employees, representatives, service providers and partner banks from and against any claims, causes of action, litigation, damages, losses and expenses arising out of or resulting from any violation of any undertaking in this Compliance Assurance Statement.
